By creating an account, downloading, accessing, or using SparkLocal ("the Service," "we," "us," or "our"), you ("you" or "User") agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
SparkLocal is a hyperlocal discovery and community platform that enables users to discover, review, and connect with local businesses; plan and attend events; join community social clubs ("SparkSocial"); source gig services; and access AI-powered concierge features. The Service is available as a Progressive Web App (PWA) and as native mobile applications for iOS and Android. The Service includes business listings, verified reviews, events, promotions, referrals, membership tiers, gamification, and community features.
You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to use the Service. Users under 18 must have parental or guardian consent. You must provide accurate, current, and complete information during registration and maintain its accuracy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. SparkLocal is not liable for any loss or damage arising from unauthorized account access. You may register using email/password, Google Sign-In, or Sign in with Apple. When using third-party authentication, you are also subject to the terms of those providers.
You agree not to:
Violations may result in content removal, point forfeiture, account suspension, or permanent ban, with or without notice.
You retain ownership of content you post to the Service, including reviews, photos, club posts, event listings, messages, and gig listings ("User Content"). By posting User Content, you grant SparkLocal a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, use, display, reproduce, modify, adapt, publish, translate, and distribute your User Content within the Service for the purpose of operating, promoting, and improving the Service.
You represent and warrant that your User Content:
SparkLocal reserves the right to review, edit, or remove User Content that violates these Terms or is otherwise objectionable, at our sole discretion, with no obligation to do so.
SparkLocal respects the intellectual property rights of others. If you believe that content on the Service infringes your copyright, you may submit a takedown request under the Digital Millennium Copyright Act (DMCA) by contacting SparkLocal support with the following: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material and its location, (c) your contact information, (d) a statement of good-faith belief that the use is unauthorized, and (e) a statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner. We will process valid requests promptly and may terminate repeat infringers' accounts.
Business listings may be contributed by users, sourced from public data (including OpenStreetMap and Google Places), or managed by verified business owners. Claimed businesses are managed by owners who have verified their association. SparkLocal does not guarantee the accuracy, completeness, or currency of business information (hours, menus, services, contact details) and is not a party to any transaction between users and businesses. Users should independently verify business information before relying on it. SparkLocal is not liable for the quality, safety, or legality of any goods or services offered by listed businesses.
Reviews are intended to reflect genuine user experiences. SparkLocal employs verification mechanisms (including phone verification and check-in data) to enhance review authenticity. However, SparkLocal does not guarantee that any review is accurate or truthful. Business owners may respond to reviews. SparkLocal is not liable for the content of reviews or business responses. Paid, incentivized, or fraudulent reviews are prohibited and will be removed.
Users may create, promote, and attend events through the Service. Event organizers are solely responsible for their events, including accuracy of details, capacity management, safety, compliance with local laws and permits, and any ticketing or admission terms. SparkLocal is not a party to event transactions and is not liable for event cancellations, changes, or any issues arising at events. Event organizers grant attendees no expectation of refund unless specified by the organizer. SparkLocal may remove events that violate these Terms or applicable law.
SparkLocal offers community features including social clubs, club feeds, direct messaging, and event chat. Users must adhere to community guidelines and any club-specific rules. SparkLocal provides moderation tools, but we do not pre-screen all user interactions. You are solely responsible for your interactions with other users. SparkLocal is not liable for the conduct of any user on or off the Service. We reserve the right to moderate, remove, or restrict access to clubs or community features for users who violate these Terms. Users may block other users, and blocked content will be filtered accordingly.
The Service may include a gig marketplace connecting users with businesses or service providers. SparkLocal facilitates connections but is not a party to any gig arrangement. SparkLocal does not guarantee the quality, legality, or safety of any service provided through gig arrangements. Users engage gig services at their own risk and should exercise appropriate caution. SparkLocal is not liable for any disputes, damages, or losses arising from gig arrangements.
Paid membership tiers (Local Insider, Event Planner, Business Owner) provide enhanced features and are billed on a recurring basis (monthly, semi-annual, or annual) via Stripe. Payments are processed securely by Stripe; SparkLocal does not store your full payment card details. New users may receive a free trial, after which billing begins automatically unless cancelled.
You may cancel your subscription at any time. Cancellation stops future billing; access to paid features continues until the end of the current billing period. Refunds are issued at SparkLocal's sole discretion. Pricing and features of each tier may change with reasonable notice. Mobile app users (iOS/Android) may manage billing through the web version of the Service.
By subscribing, you authorize SparkLocal to charge your payment method through Stripe for recurring fees until cancellation. If a payment fails, we may retry or suspend access to paid features.
Businesses may purchase coupon distributions and advertisements delivered to users based on location and targeting criteria. SparkLocal delivers promotions based on the selected package size and radius but does not guarantee specific redemption rates, click-through rates, or business results. Promotion content is provided by the business; SparkLocal is not responsible for the accuracy of promotional offers. Businesses are responsible for honoring coupons and promotions they create.
Users and businesses may earn rewards (free months, discounts) for referring new users or businesses. Referral rewards are subject to verification. Reward fraud, including self-referrals, fake accounts, or coordinated manipulation, will result in forfeiture of rewards and potential account suspension. SparkLocal may modify or discontinue referral programs at any time. Referral rewards have no cash value unless explicitly stated.
The Service includes gamification features (points, levels, badges, challenges, leaderboards). Points, badges, and levels have no monetary value and cannot be exchanged for cash or other rewards unless explicitly stated. SparkLocal may reset, adjust, or revoke gamification metrics at any time. Leaderboard rankings are based on available data and may not reflect real-time accuracy. Attempting to manipulate gamification systems is prohibited and may result in penalties.
The Service includes AI-powered features (Concierge, Growth Partner, Event Scout, Review Insights, marketing tools, and moderation agents). AI-generated content, recommendations, analytics, forecasts, and insights may be inaccurate, incomplete, or unsuitable for your needs. They are provided for informational purposes only and do not constitute professional, legal, financial, or business advice. You should independently verify AI-generated information before relying on it. See our Analytics Disclaimer for details. SparkLocal is not liable for decisions made based on AI-generated content.
The Service integrates with third-party services, including Google (Sign-In, Maps, Places), Apple (Sign In with Apple), Stripe (payments), and OpenStreetMap (business data). Your use of these third-party services is subject to their respective terms and privacy policies. SparkLocal is not responsible for the availability, accuracy, or behavior of third-party services. Authentication via Google or Apple grants SparkLocal access to your basic profile information (name, email) as permitted by those providers.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy. Depending on your location, you may have rights under the California Consumer Privacy Act (CCPA) or the General Data Protection Regulation (GDPR) regarding access, deletion, or correction of your personal data.
You may delete your account at any time through the Settings page. Account deletion permanently removes your profile, reviews, check-ins, events, messages, club posts, saved businesses, referrals, and associated data. This action is irreversible. Subscription cancellations should be completed before account deletion to avoid future charges.
The Service, including its design, features, logos, branding, software, and original content, is the property of SparkLocal and is protected by copyright, trademark, and other intellectual property laws. The "SparkLocal" name and logo are trademarks of SparkLocal. You may not use our trademarks or branding without prior written consent. User Content remains the property of its respective creators as described in Section 5.
SparkLocal grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. This license does not include any right to resell, commercialize, or derivative use of the Service or its content without express authorization.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free. SparkLocal does not warrant that the Service is free of viruses or other harmful components. Advice or information received through the Service does not constitute professional advice.
To the maximum extent permitted by law, SparkLocal, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service. This limitation applies regardless of the legal theory and whether SparkLocal has been advised of the possibility of such damages. You acknowledge that the Service is used at your sole risk.
You agree to indemnify, defend, and hold harmless SparkLocal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your User Content, your violation of these Terms, your violation of any law or third-party rights, or your misuse of the Service.
SparkLocal reserves the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service. Features may be added, changed, or removed as the Service evolves.
You may delete your account at any time through Settings. SparkLocal may suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to the Service or other users. Upon termination, your license to use the Service ends. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, and limitation of liability) will remain in effect.
SparkLocal is available as a Progressive Web App and may be installed on mobile devices. The Service may also be distributed via the Apple App Store and Google Play Store. Use of the native apps is subject to the terms of service of those stores. SparkLocal does not guarantee that the apps will be compatible with all devices or operating system versions. Subscription management for mobile app users is handled through the web version of the Service.
These Terms and any disputes arising out of or related to them or the Service shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Austin, Texas, before a single arbitrator, under the commercial arbitration rules of the American Arbitration Association.
You waive any right to participate in a class action lawsuit or class-wide arbitration. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
SparkLocal shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, internet or telecommunications failures, power outages, or pandemics.
We may update these Terms periodically. Material changes will be communicated through the Service or via email when practicable. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
These Terms constitute the entire agreement between you and SparkLocal regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect. SparkLocal's failure to enforce any right or provision is not a waiver of that right. You may not assign or transfer these Terms or your account without our consent; SparkLocal may assign these Terms freely. No joint venture, partnership, employment, or agency relationship is created by these Terms.
For questions about these Terms, privacy, or any aspect of the Service, contact SparkLocal support through the in-app support features or settings.
